Credit: 3 OR 4 hours.
This course focuses in detail on the substantive law and strategic considerations that are important in securities litigation, whether private suits by individual investors, private class actions under federal securities laws, or federal and state government enforcement proceedings. Topics include: 10(b) fraud suits under the 1934 Act, 11 and 12(a)(2) suits under the 1933 Act, insider trader liability, procedural issues in class actions, and litigation under federal proxy solicitation and tender offer regulations.
Prerequisite: LAW 633.
